Terms of Service
These Terms of Service ("Terms") govern your access to and use of RepDesk — the mobile app, repdeskapp.com, and the services connected to them (together, the "Service"). By creating an account, joining a company on RepDesk, or using the Service in any way, you agree to these Terms. If you're accepting these Terms on behalf of a company, you're confirming you have the authority to bind that company, and "you" refers to both you and that company.
If you don't agree to these Terms, don't use the Service.
1. What RepDesk Is
RepDesk is a scheduling and hours-tracking tool for door-to-door sales teams. A company using RepDesk (a "Workspace") has an owner, and may have managers and reps. Owners and managers can see and manage schedule data for their own Workspace only — RepDesk is multi-tenant, and one Workspace never has access to another's data.
2. Accounts & Eligibility
- You must be at least 16 years old to use RepDesk.
- You're responsible for the accuracy of the information you provide (name, email, and any schedule data you log) and for keeping your login credentials secure. You're responsible for activity that happens under your account, whether or not you personally performed it.
- One login is tied to one person. You may belong to more than one Workspace with the same login, but you may not share your login with someone else or create an account impersonating another person.
- A Workspace's owner is responsible for who they invite, and for removing access when someone leaves their company. RepDesk isn't responsible for a Workspace's own internal access decisions.
3. Subscriptions, Billing & Payment
- Plans. RepDesk offers a Free plan and several paid plans (Starter, Growth, Business, and custom Enterprise arrangements), each with a rep-count limit. Current pricing is listed at repdeskapp.com/pricing and is subject to change; if we change the price of a plan you're actively subscribed to, we'll give you reasonable advance notice before it applies to your next billing cycle.
- Billing. Paid plans are billed in advance, either monthly or annually, and renew automatically until canceled. Payment is processed by Stripe, our payment processor — RepDesk never receives or stores your card details directly. By subscribing, you authorize recurring charges to your payment method for each billing period until you cancel.
- Upgrades. Moving to a higher-tier plan takes effect immediately, with a prorated charge for the remainder of the current billing period.
- Downgrades. Moving to a lower-tier plan takes effect at the start of your next billing period — you keep your current plan's features and rep limit for the remainder of the period you already paid for.
- Cancellation. You may cancel a paid plan at any time through the "Manage Billing" link on repdeskapp.com. Cancellation takes effect at the end of your current billing period; you retain access until then, and the Workspace moves to the Free plan afterward (subject to the Free plan's rep limit — see below).
- Refunds. Payments are non-refundable except where required by applicable law. We don't offer partial refunds for unused time within a billing period; downgrading or canceling takes effect as described above instead.
- Failed payments. If a payment fails, we (through Stripe) will attempt to collect it again and may email you about it. If payment continues to fail, we may suspend or cancel the subscription and move the Workspace to the Free plan.
- Free plan limits. The Free plan is capped at a limited number of reps. If a Workspace has more reps than the Free plan allows (for example, after a downgrade or cancellation), existing reps keep their access, but the Workspace won't be able to add new reps until it's back within the limit or on a paid plan.
4. Acceptable Use
You agree not to:
- Use the Service for anything illegal, or in a way that violates someone else's rights;
- Attempt to access another Workspace's data, or probe, scan, or test the Service's security without permission;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where the law gives you the right to do so despite this restriction;
- Interfere with or disrupt the Service, or attempt to access it through means other than the app or website we provide;
- Resell, sublicense, or provide the Service to a third party as your own product.
We may suspend or terminate access for a Workspace or individual account that violates this section.
5. Your Data
You (or your Workspace) own the schedule, hours, and company data you put into RepDesk. We don't claim ownership of it. You grant us a license to host, process, and display that data solely to provide the Service to you. Our Privacy Policy explains in more detail what we collect and how it's handled.
If your Workspace's subscription ends, we retain your historical data consistent with our Privacy Policy rather than deleting it immediately, the same way a paper timesheet would be kept on file — you can request full deletion at any time via the contact below.
6. Our Intellectual Property
RepDesk — the app, the website, our branding, and the underlying software — belongs to us. These Terms don't grant you any rights to our intellectual property beyond what's needed to use the Service as intended.
7. Third-Party Services
RepDesk relies on Stripe (payment processing), Supabase (database and authentication), and Expo (push notifications) to operate. Your use of the Service is also subject to those providers' own terms where applicable. We aren't responsible for outages or issues caused by a third-party provider outside our control.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or available at all times.
9. Limitation of Liability
To the fullest extent permitted by law, RepDesk and its owner won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you (or your Workspace) paid us in the 12 months before the claim arose, or $100 if you haven't paid us anything.
Some jurisdictions don't allow the exclusion or limitation of certain damages, so parts of this section may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold us harmless from any claim, damage, or expense (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any third party's rights.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service — where reasonably possible, we'll give you advance notice. Sections of these Terms that by their nature should survive termination (including billing obligations already incurred, intellectual property, disclaimers, and limitation of liability) will survive.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be resolved through binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court. You and RepDesk each waive the right to a jury trial and to participate in a class action.
13. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we'll update the effective date above and, where reasonably possible, notify you. Continuing to use the Service after a change takes effect means you accept the updated Terms.
